Amazon Owns a $6.2 Billion Piece of Anthropic's AI Boom — Here's What's at Stake

Amazon.com Inc.’s (NASDAQ:AMZN) investment in Anthropic (NASDAQ:ANT) is starting to look like far more than a strategic bet on a promising AI startup. The e-commerce giant holds $6.2 billion in outstanding convertible notes that could turn into equity when Anthropic goes public.

But the debt’s principal value is only part of the story: Amazon’s own filings show that its Anthropic holdings have appreciated dramatically, creating a potentially massive financial windfall alongside a cloud-computing partnership worth billions.

A $6.2 Billion Note With a Much Bigger Value

Anthropic disclosed in its IPO filing that it had $6.2 billion in outstanding convertible debt as of June 30, 2026. The entire amount represented notes issued to Amazon Web Services under agreements dating back to 2023 and 2024.

The distinction between principal and valuation matters. Amazon’s September-quarter filing put the estimated fair value of those convertible notes at $146.2 billion as of Sept. 30, up from $97.9 billion in June. Amazon also reported $92.5 billion in Anthropic nonvoting preferred stock, compared with $14.8 billion at the end of 2025.

These are accounting fair-value estimates, not cash proceeds or guaranteed IPO gains. Still, they show how dramatically the value of Amazon’s exposure has grown as Anthropic’s valuation climbed. Amazon’s SEC filing also said the outstanding notes would convert into approximately 184 million shares of nonvoting preferred stock, before applying the ownership cap.

The IPO Could Unlock More Than Equity

Amazon’s conversion rights come with a 12% ownership cap, which it can waive. Any notes that cannot convert without crossing that threshold can remain outstanding and convert later as room becomes available. The structure means Amazon’s full position may not turn into shares at once.

Amazon has also invested directly in Anthropic’s preferred stock, making its exposure broader than the $6.2 billion debt figure suggests. Separately, it has made available a $15 billion financing facility tied to compute-capacity milestones, according to Anthropic’s filing.

AWS Gets the Business, Too

The financial relationship runs both ways. Anthropic has committed to spending more than $100 billion on AWS technologies over 10 years under an expanded agreement announced in April. The deal secures up to five gigawatts of computing capacity and includes Amazon’s custom Trainium chips.

That gives Amazon two ways to benefit: its investment can appreciate as Anthropic grows, while AWS supplies the infrastructure needed to train and run Claude. Anthropic also said more than 100,000 customers use Claude on Amazon Bedrock.

For Amazon investors, Anthropic’s IPO is therefore not simply an opportunity to mark up a private investment. It could validate a strategy in which Amazon funds an AI customer, supplies its computing infrastructure and participates in the value created by the business.

The risk is that Anthropic’s enormous compute needs and future financing requirements remain substantial. But Amazon has positioned itself to capture value across multiple layers of the AI boom.
