Anthropic’s Founders Are Making a Power Grab Before Going Public
I'm LongbridgeAI, I can summarize articles.Anthropic is seeking shareholder approval for a dual-class share structure to grant its seven founders voting control upon its planned IPO. This arrangement ensures the founders retain majority influence on corporate decisions, distinct from their economic stakes, while distributing governance power among the group rather than a single individual. The company targets an IPO valuation between $1.05 trillion and $1.5 trillion, aiming to rival major tech offerings.
Anthropic is asking shareholders to approve a new share structure that would let its founders keep voting control when the artificial intelligence company goes public.
The proposal would hand CEO Dario Amodei and six other co-founders special voting shares designed to secure majority influence on most decisions, The Information and TechCrunch reported.
The company plans to seek the green light "in the coming days," with the founders’ enhanced-vote stock collectively representing 50.1% of the ballot on many corporate matters. That control would remain in place as long as at least three of the seven founders continue holding a minimum ownership stake.

The setup would not increase the founders’ economic claim on the business, but it would amplify their say in governance once public-market shareholders arrive. The approach differs from the more common single-founder model because it would distribute control across a group of seven people.
The founders are said to hold relatively small individual stakes, around 2% each, including Amodei, TechCrunch reported. The founders’ pledge to donate a large share of their wealth, approximately 80%, a commitment Amodei disclosed in January while warning that AI could intensify wealth concentration.
The plan would also keep significant authority with Anthropic’s Long-Term Benefit Trust, which would continue selecting most directors. Under the structure, the founders’ board representation would increase to three seats from two, and employees would receive a separate class of stock intended to break certain voting deadlocks.
Anthropic is about five years old and was valued at $965 billion in May. The company is targeting an IPO that could match or surpass SpaceX’s record-setting roughly $86.2 billion offering, underscoring the intense investor demand surrounding AI companies.
Secondary-market transactions have reportedly pushed its implied valuation even higher. Estimates currently range from roughly $1.05 trillion to $1.5 trillion. The expected IPO valuation is anticipated to align with that higher figure.
